Yan Besner practices real estate, banking and commercial law from Dentons Canada
LLP's Montréal offi ce. Besner represents lenders, property owners, developers and
other commercial clients in the fi nancing, development and acquisition of immovable
and movable assets. He prepares security documentation and reviews leases and other
typical commercial documentation. Besner regularly represents national and interna-
tional retailers and franchisors in the context of their commercial leasing needs as well
as institutional entities and developers in the acquisition, disposition and fi nancing of
real estate assets.

Practice focuses on corporate and commercial law, in the area of mergers and acquisi-
tions, private equity and venture capital. He advises clients in all aspects of their investing
activities, including management and leveraged buyouts, majority and minority equity
investments, divestitures, joint ventures, shareholders' arrangements and fund and
transaction structuring. Has also advised various Canadian pension funds and fi nancial

Christopher Bystrom is an energy regulatory lawyer whose practice encompasses
a wide array of issues related to the regulation of public utilities and energy projects.
Bystrom provides day-to-day strategic advice, represents clients before utilities commis-
sions and guides clients through regulatory approval and environmental assessments of
major projects. He is focused on understanding his clients' businesses and providing
legal services in a practical and effi cient manner. He has acted as counsel for major utili-
ties in British Columbia and Alberta in revenue requirement and tariff applications, cost
of capital/return on equity, facilities and certifi cates of public convenience and necessity
applications and complaint proceedings. Bystrom has acted for the proponents of major
energy projects undergoing environmental assessment at the federal and provincial level.
Bystrom was called to the British Columbia Bar in 2004 and the Alberta Bar in 2013.

Michael Choiselat is a partner in the fi rm's Business Law group. He has a general
corporate and commercial practice, with an emphasis on fi nancial services, which
primarily involves advising fi nancial institutions on secured debt fi nancing transac-
tions, and property and development, which primarily involves advising on acquisitions
and divestitures, leasing matters and fi nancing matters. Choiselat frequently acts as
Manitoba counsel for law fi rms and businesses located in other jurisdictions. As a result,
he is o en consulted on matters concerning Manitoba limited partnerships and legal
opinions. Prior to joining ompson Dorfman Sweatman LLP, Choiselat was an associ-
ate at Torys LLP in Toronto.
