Jane Dietrich is a partner with a practice focusing on commercial restructuring, insol-

Carl Cunningham is a partner at Bennett Jones LLP and he specializes in providing
strategic employment advice to management (including the on-boarding and separa-
tion of C-Suite executives) and frequently provides advice regarding the transfer of
employees in complex corporate transactions. He assists employers in establishing the
employment relationship, such as dra ing and negotiating employment contracts,

mining, energy, manufacturing, infrastructure, waste and water. Assists buyers, sellers,
underwriters, investors, issuers, lenders and borrowers, through all environmental
aspects of transactions, including by conducting environmental liability assessments
and fashioning appropriate risk mitigation strategies. Represents clients with respect to
environmental disputes that are the subject of civil litigation, administrative and regula-
tory proceedings, as well as mediation and arbitration. Advises proponents and others on
a broad spectrum of environmental, health and safety issues, including environmental
assessments and other approvals; contaminated sites; use and transport of environmen-
tally regulated substances; constructor liability; and climate change. Also advises clients

Étienne Gadbois is an established legal practitioner with regard to commodity taxes,
including Canada's goods and services tax (GST), harmonized sales tax (HST) and
Québec sales tax (QST). He advises domestic and foreign businesses on various transac-
tional matters, including mergers and acquisitions and the structuring of public-private
partnerships. He has also acted for several foreign corporations entering the Canadian
market by advising them on sales tax issues. Gadbois is also involved in several major
GST/HST litigation cases, including high-risk audits. He acts for several Ontario
wholesalers who have been assessed for uncollected sales taxes on their sales of tobacco
products to Indians living on reserves. A highly sought-a er speaker in sales tax matters
in Canada and abroad, notably in France and Hong Kong, Gadbois is a widely published
author on topics related to commodity taxes. Since 2013, Gadbois has authored two
Carswell publications: La Loi du Praticien annotée - TPS-TVQ, and a monthly bilingual
newsletter, New Trends in Commodity Taxes.
