Simon Finch is a partner who practices in the areas of lending transactions, acting
both for borrowers and lenders at Blake, Cassels & Graydon LLP. He has extensive
experience structuring and negotiating syndicated loans, asset-based loans, letter of
credit facilities, project fi nancings and high-yield off erings transactions. In particular,
Finch frequently provides advice with respect to acquisition fi nancings, including both
strategic and sponsor leveraged buyouts and tender-off er fi nancings for public compa-
nies. In addition, he maintains a complementary banking, corporate and insolvency
practice. Finch has developed particular expertise in the mining sector, as well as the
negotiation of inter-creditor issues. As cross-border lending and security continues to
become more prevalent in Canada, Finch's practice has developed a strong international
component. His clients include numerous foreign fi nancial institutions, private-equity
funds, corporations and law fi rms, who retain him to assist with the Canadian aspects
of multi-jurisdictional fi nancings.

Michael Harquail is a partner who practices in the areas of banking and corporate
fi nance law at Blake, Cassels & Graydon LLP. Harquail is the practice group leader
of the fi rm's Financial Services Group and a member of the fi rm's Executive Commit-
tee. Advises a wide range of fi nancial institutions and corporate clients on corporate
lending, debt restructuring and general corporate matters. Has extensive experience in
structuring and documenting domestic fi nancing transactions, cross-border fi nancing
