LEGACY OIL + GAS ACQUIRES CORINTHIAN EXPLORATION Closing date: July 2, 2014 Legacy Oil + Gas Inc. acquired Corinthian Exploration Corp for approximately $225 million by way of a three- cornered amalgamation. Through the acquisition, Legacy acquired high netback, light oil assets focused in its North Dakota Spearfish core area for total consideration of approximately 20.1 million Legacy common shares and assumed net debt of approxi- mately $34 million. The acquisition also includes a position in the Dunvegan light oil play in the Elmworth area of northwest Alberta, with production, undeveloped land and drilling upside and owned and operated key facilities and infrastructure. PAREX RESOURCES ACQUIRES VERANO ENERGY Closing date: June 25, 2014 Parex Resources Inc. and Verano Energy Limited completed a plan of arrangement pursuant to which Parex acquired all the issued and outstanding shares of Verano for an approxi- mate total value of $198 million. Parex is a Canadian oil and gas company that is in- volved in crude oil exploration, development and produc- tion with properties focused in south America and the Caribbean region. Verano is a privately owned oil and gas exploration and production company headquartered in Calgary, with opera- tions exclusively in Colombia.
