CRESCENT POINT ENERGY ACQUIRES ASSETS OF POLAR STAR CANADIAN OIL AND GAS Closing date: June 12, 2014 Crescent Point Energy Corp. acquired the Saskatchewan Viking oil assets from Polar Star Canadian Oil and Gas Inc., a private western Canadian oil and gas producer, for approximately $334 million. The Viking Assets include all of Polar Star's assets in the Viking play at Dodsland, Saskatchewan. The acquired as- sets consolidate Crescent Point's existing Viking land po- sition in the Dodsland area and include more than 2,800 boe/d of high-quality, high-netback production. Total consideration for the Viking Assets was comprised of approximately 7.6 million Crescent Point shares and $2 million cash, or approximately $334 million, based on the five-day weighted average price of Crescent Point shares prior to the execution of the Viking Acquisition purchase and sale agreement in mid-May of $43.88 per Crescent Point share. BAYTEX ENERGY CLOSES $1.5B FINANCING Closing date: February 24, 2014 Baytex Energy Corp. closed the public offering of its bought- deal subscription receipt financing. The financing was completed in connection with its pro- posed acquisition of Aurora Oil & Gas Limited for $2.6 billion. Baytex issued 38,433,000 subscription receipts at a price of $38.90 per subscription receipt for aggregate gross proceeds of approximately $1.5 billion. Baytex was represented by Murray Desrosiers, Vice Presi- dent, General Counsel and Corporate Secretary of Baytex, and by Burnet, Duckworth & Palmer LLP.
