take-over bids, share and asset acquisitions and divestitures, privatizations and corporate
restructurings. His fi nancing experience includes domestic and cross-border public and
private off erings of equity and debt, initial public off erings and other securities off erings
and monetizations. Marshall is a former member of the Securities Advisory Committee
to the Ontario Securities Commission. Marshall is a graduate of the University of
Toronto law school and was admitted to the Ontario Bar in 1989.

Jeff Lloyd is a partner who practices in the areas of mergers & acquisitions and capital

Represented Vincor International Inc., from its initial acquisition by a consortium
in 1992 to its sale to Constellation Brands, Inc. in 2006. Acts as Canadian counsel
for international clients, such as Amdocs Limited, in their Canadian initiatives and
acts for private-equity fi rms, including Clairvest, in their investing activities. Also
represents the Canada Pension Plan Investment Board in its commitments to private-
equity funds worldwide. Has spoken at a number of conferences on securities law and
