Practices in the area of banking and corporate fi nance; has represented institutional
creditors and investors of all types, including the major Canadian banks, many of the
US money center banks and an American global fi nancial services company. Recently
has advised the Bank of Canada on systemic matters, including the proposed acquisition
of TMX. Also represents investment banks in complex or specialized structured fi nance
transactions, including asset-based fi nancing, securitizations and other types of innova-
tive structured fi nance, both domestic and off shore. Has participated as investors'
counsel in numerous restructurings over the last three decades. Named by Lexpert® as
one of the 100 Most Creative Lawyers in Canada. A member of the Executive Commit-
tee, Entrepreneurship Council of the Richard Ivey School of Business; past member of

Ian Binnie is a partner in the Financial Services Group at Blake, Cassels & Graydon
LLP. His practice encompasses a broad range of business law matters, with a focus on
fi nancing transactions and fi nancial regulatory matters. Binnie has extensive experi-
ence in all aspects of commercial fi nance, both domestically and internationally,
including public and private debt issuances, project fi nance (primarily in the power
generation industry), bilateral and syndicated lending, asset-based lending, private
equity, second lien and other forms of subordinated lending, securitization and deriva-
tive transactions. Binnie has acknowledged expertise in negotiating and integrating
commercial law and fi nance documentation. He also has a long-standing interest in
personal property security matters and participates in a number of ongoing law reform
initiatives in this fi eld.

Michael Burke is a partner who practices in the Financial Services Group at Blake,
Cassels & Graydon LLP. His practice consists of transactional work (in the securiti-
zation and asset-based lending/leasing areas) and the development and modernization
of wholesale and retail lending/leasing programs and documentation for business and
consumer customers. Has acted in connection with domestic and cross-border securi-
tization transactions and has acted for fi nance/insurance companies in establishing
domestic and cross-border private securitization or bulk purchase programs. Has acted
for borrowers/lessees and lenders/lessors in a variety of domestic and cross-border loans
(e.g., ABL, term, acquisition fi nancing and warehouse credit facilities, project fi nance,
and private placement of bonds and notes) and lease transactions. Received CFLA's
Member of the Year Award for 2010. Has been an Adjunct Professor of commercial
law at Osgoode Hall Law School. Obtained MBA in 1986. Admitted to Ontario Bar
in 1988.
