Head of Torys' Structured Finance and Securitization Group. Practices corporate
and commercial law with an emphasis on structured asset-backed fi nancing, securiti-
zation, corporate fi nance, secured lending, aircra fi nancing and derivatives. Works
on structuring transactions involving the securitization of numerous asset classes,
including residential and commercial mortgages, auto loans and leases, personal lines
of credit, credit cards and trade receivables. Represented TD Bank on its acquisition
of MBNA Canada Bank's credit card portfolio and on Canadian aspects of its acquisi-
tion of Chrysler Financial; Business Development Bank of Canada in connection with
the design and implementation of the $12-billion Canadian Secured Credit Facility to
invest in term ABS backed by auto and equipment loans and leases; and National Bank
of Canada on matters related to the restructuring of the Canadian third-party ABCP

Partner and co-head of Torys' Debt Finance Practice Group. Practice focuses on

Michael Harquail is a partner who practices in the areas of banking and corporate
fi nance law at Blake, Cassels & Graydon LLP. Harquail is the practice group leader
of the fi rm's Financial Services Group and a member of the fi rm's Executive Commit-
tee. Advises a wide range of fi nancial institutions and corporate clients on corporate
lending, debt restructuring & general corporate matters. Has extensive experience in
structuring and documenting domestic fi nancing transactions, cross-border fi nancing
transactions, syndications, acquisition fi nancings, asset-based fi nancings, project fi nanc-
ings, high-yield off erings, subordinated debt arrangements and structured fi nance. Also
has extensive experience in buying/selling businesses and in structuring shareholder
arrangements. Has advised lenders and borrowers in fi nancing transactions across a
wide range of industries and sectors, including aerospace, agriculture, automotive,
energy, fi nancial services, general manufacturing, health care, mining, pulp & paper,
retail, steel, technology, telecommunications and transportation.
