On March 2, 2018, SNC-Lavalin Group
Inc. (SNC-Lavalin) completed a private of-
fering of $525-million aggregate principal
amount three series of debentures, consist-
ing of (i) $150,000,000 of its Floating Rate
Series 2 Debentures due March 4, 2019; (ii)
$175,000,000 of its Floating Rate Series 3
Debentures due March 2, 2021; and (iii)
$200,000,000 of its 3.235 per cent Series 4
Debentures due March 2, 2023 (collectively,
the Debentures).
e Debentures were offered through an
agency syndicate consisting of BMO Capital
Markets, CIBC World Markets, National
Bank Financial Markets and Scotiabank, as
joint bookrunners and co-lead private place-
ment agents, which also included RBC Capi-
tal Markets, TD Securities, HSBC Securities
and Desjardins Securities.
SNC-Lavalin was led in-house by Marco
Rodrigues, Vice-President, Finance and
by a team from Norton Rose Fulbright
Canada LLP that included Elliot Shapiro,
Amélie Métivier, Michelle Felsky, Lady Af-
rica Sheppard and Rachel Lesmerises (cor-
porate and securities) and Antoine Des-
roches (tax).
e agency syndicate was represented by
Stikeman Elliott LLP with a team that
included Robert Carelli, Julien Michaud
and Julien Robitaille-Rodriguez (corpo-
rate and securities).

FUEL FACILITIES
COMPLETES $115M
BOND OFFERING
CLOSING DATE: MARCH 20, 2018
On March 20, 2018, Vancouver Airport
Fuel Facilities Corp. (VAFFC) completed a
$115-million offering of 3.653 per cent am-
ortizing Series G bonds due March 20, 2051.
e offering was completed by RBC Do-
minion Securities Inc. as lead arranger and
sole placement agent.
e proceeds of the offering will be used
by VAFFC principally to refinance prior
debt related to the development of fueling in-
frastructure at the Vancouver International
Airport and also in connection with its on-
going development of a marine terminal and
fuel receiving facility on the South Arm of
the Fraser River and a connecting pipeline to
the Airport.
e proceeds of the offering will also be
used for further on-airport fueling infra-
structure developments.
VAFFC is operated on a not-for-profit ba-
sis for the benefit of a consortium of 31 air-
lines that serve the Airport.
