LAURENTIAN BANK OF
CANADA COMPLETES
$144M PUBLIC OFFERING
CLOSING DATE: JANUARY 16, 2018
On January 16, 2018, Laurentian Bank of
Canada (the Bank) completed a public offer-
ing of 2,624,300 common shares (the Shares),
which included the exercise in full of the over-
allotment option granted to the underwriters.
e Shares were priced at $54.80 per Share
for aggregate gross proceeds of $143,811,640.
e offering was made pursuant to the Bank's
short form base shelf prospectus dated De-
cember 20, 2016, and the Bank's prospectus
supplement dated January 9, 2018, which were
filed with the securities regulatory authorities
in all provinces of Canada.
e syndicate of underwriters, led by TD
Securities Inc., BMO Nesbitt Burns Inc. and
CIBC World Markets Inc., was also com-
prised of Laurentian Bank Securities Inc.,
National Bank Financial Inc., RBC Domin-
ion Securities Inc., Desjardins Securities Inc.,
Scotia Capital Inc., Barclays Capital Canada
Inc., Canaccord Genuity Corp. and Cor-
mark Securities Inc.
e Bank was represented in-house by
Christian Marcoux, Vice-President, Legal
Affairs and Secretary, and Vanessa Roma-
no, Legal Counsel and Assistant Secretary.

cousel to the Bank with a team that included

$400M PUBLIC OFFERING
OF PREFERRED SHARES
CLOSING DATE: DECEMBER 7, 2017
On December 7, 2017, Pembina Pipeline
Corp. (Pembina) closed a $400-million public
offering of cumulative redeemable minimum
rate reset class A preferred shares, Series 21.
