North American operations — follow-
ing its completion, West Fraser' portfolio
comprised 21 sawmills in the US in addi-
tion to 15 in Canada.
By way of background, West Fraser en-
tered into the Stock Purchase Agreement
on July 26, obtained early termination of
the Hart-Scott-Rodino Act (HSR) waiting
period in the middle of August, and com-
pleted the acquisition on August 31. e
transaction had a significant cross-border
component and was completed in a re-
markably short timeframe.
McMillan LLP was lead counsel for
West Fraser and was involved in all aspects
of the transaction. e McMillan team was
led by Tom eodorakis and comprised
Mike Taylor, Leo Raffin, Mark Neighbor,
Morgan McDonald, Joanna Dawson, Jill
Pereira, Navnit Duhra Becky Rock, Lind-
say Dykstra and Peter Botz. Butler Snow
LLP was US counsel for West Fraser and
advised on corporate and closing imple-
mentation. Gibson, Dunn & Crutcher
LLP advised on the HSR filing.

Flom LLP was counsel to the Howard Gil-
man Foundation (the seller) with a team led
by Ann Beth Stebbins that included Victor
Hollender, Erica Schohn, Liz Malone, Joe

PARAMOUNT RESOURCES
ACQUIRES APACHE CANADA
FOR $460M

On August 16, 2017, Paramount Resources
Ltd. acquired all of the shares of Apache
Canada Ltd., a wholly owned subsidiary of
US public company Apache Corp., for ap-
proximately $460 million. e acquisition
added significant reserves, production and
landholdings within Alberta and British
Columbia to Paramount's portfolio. e
transaction was a complex one due to the
dispositions by Apache Canada of other as-
sets not being acquired as part of the acqui-
sition of Apache Canada by Paramount.
Paramount Resources Ltd. is an inde-
pendent, intermediate Canadian energy
company. e company explores for, de-
velops, produces and markets natural gas,
crude oil and natural gas liquids in Alberta,
British Columbia, Saskatchewan and the
Northwest Territories.
