Michael Harquail is a partner who practices in the areas of banking and corporate
fi nance law at Blake, Cassels & Graydon LLP. Harquail is the practice group leader
of the fi rm's Financial Services Group and a member of the fi rm's Executive Commit-
tee. Advises a wide range of fi nancial institutions and corporate clients on corporate
lending, debt restructuring and general corporate matters. Has extensive experience in
structuring and documenting domestic fi nancing transactions, cross-border fi nancing
transactions, syndications, acquisition fi nancings, asset-based fi nancings, project fi nanc-
ings, high-yield off erings, subordinated debt arrangements and structured fi nance. Also
has extensive experience in buying/selling businesses and in structuring shareholder
arrangements. Has advised lenders and borrowers in fi nancing transactions across a wide
range of industries and sectors, including aerospace, agriculture, automotive, energy,
fi nancial services, general manufacturing, health care, mining, pulp & paper, retail, steel,
technology, telecommunications and transportation.

As Co-chair, Syndicated Finance, Jeff Rogers practices in the fi rm's banking and fi nan-
cial services group with a focus on debt fi nancing transactions, including asset-based
lending, syndicated lending, M&A fi nancings, tender off er fi nancing, second lien, mezza-
nine fi nancing, high-yield off erings, dip lending and work-outs. He is a regular speaker
at conferences and client in-house training programs on asset-based lending, syndicated
lending and cross-border lending issues. Rogers has a particular expertise in cross-border
