David Johnson is a partner in Fasken Martineau's Toronto Banking and Finance
Group. He advises both lenders and borrowers in the structuring and negotiation of
complex corporate and commercial lending transactions, including syndicated and
bi-lateral fi nancings. Johnson routinely leads internal and external teams on both
domestic and multi-jurisdictional matters. He has particular experience acting for
Schedule I Canadian Banks, large US-based fi nancial institutions and sector-specifi c
lenders in connection with their provision of credit to the utility, private-equity, REIT,
mining, medical, construction, infrastructure, automotive, IT and consumer products
sectors. Johnson was called to the Ontario Bar in 2002 and named one of Lexpert®'s
"Rising Stars: Leading Lawyers Under 40" in 2014.

Ryan Jacobs is a partner practicing in the areas of Corporate Finance and Restruc-
turing and Insolvency. A former New York practitioner with one of the most active
bankruptcy groups in the United States, he has developed a leading cross-border restruc-
turing practice in Canada. Jacobs is routinely retained to act on behalf of ad hoc and
offi cial creditor groups, debtors, DIP lenders, boards, institutional and distress inves-
tors, bidders and stalking-horse purchasers and other interested parties across a broad
spectrum of industries. He has been a trusted advisor in many of the largest and most
complex in-court and out-of-court corporate reorganizations, recapitalizations and
restructurings in recent history. Jacobs is also an advisor to a number of boards of public
and private companies in Canada and the United States. He frequently lectures on
bankruptcy topics at major industry conferences and is an adjunct professor of law at the
University of Windsor, Ontario. Jacobs is an active member of INSOL and SARIPA,
and he was called to the New York Bar in 2004 and the Ontario Bar in 2011.

Yong-Jae Kim is a transactional lawyer with experience in the global mining and
energy sectors. He acts for both Canadian and Korean companies in connection with
projects and operations located around the world. Based in Vancouver and fl uent in
Korean, Kim has been involved in some of the most complex transactions that have
shaped the outbound investments made by Korean companies in the mining industry
worldwide. In addition, he has worked with major high-profi le mining clients as well
as numerous mid-cap and junior mining companies on a variety of transactions to help
them advance their exploration and development plans through joint ventures, private
placements, public off erings, project fi nancings, royalty transactions, and commod-
ity streaming arrangements. Kim currently sits as the regional governor for Western
Canada for the International Association of Korean Lawyers. He was recognized as one
of Lexpert®'s "Rising Stars: Leading Lawyers Under 40" in 2014.

Christine Kowbel practices environmental and Aboriginal law, providing advice in
respect of major project development, environmental assessment, permitting, opera-
tional matters and acquisition and sale of industrial projects. She provides specialized
mining industry advice, representing clients with respect to permitting and regulatory
aspects of exploration, development, operation and closure of mining projects. Her other
clients include energy, forestry and other natural resource sector companies, as well as
banking institutions and real estate developers. Kowbel has assisted clients in matters
before all levels of court in British Columbia, as well as various boards and tribunals
located in BC and the Canadian North. She has also prepared applications on behalf of
clients to the Supreme Court of Canada. Kowbel was a recipient of Lexpert®'s "Rising
Stars: Leading Lawyers Under 40" in 2014. She has also been named a Future Star by
Benchmark Litigation.
