Chris Hewat is a partner who practices in the areas of securities and business law

Vanessa Grant is a partner in Gowlings' Toronto offi ce. Her practice focuses on corpo-
rate fi nance, mergers & acquisitions, and private equity. She advises issuers, investors
and underwriters on public and private fi nancings (including venture capital fi nancing);
initial public off erings; public and private M&A; corporate governance; joint ventures;
and licensing and distribution agreements. She also acts for US issuers, private-equity
funds and investment banks in connection with their Canadian transactions. In addition,
Grant provides ongoing general corporate and commercial advice to a number of clients
and works with national and international clients across all industries, with a particular
focus on technology and life sciences companies. She also represents private-equity and
venture-capital funds investing in technology and life sciences. Grant lectures on topics
related to M&A, securities law, corporate governance and industry-specifi c issues. She is
the Co-director of the Osgoode Hall LLM program in business law and teaches a course
