George Cooper is the New Brunswick Managing Partner of Cox & Palmer, and works
out of the Moncton offi ce. He is a graduate of Mount Allison University, the law faculty
of the University of New Brunswick and, in 1997, completed an LLM at the Univer-
sity of Cambridge in Cambridge, England, where he studied both Corporate Finance
and Insolvency Law. He was called to the Ontario Bar in 1995 and the New Bruns-
wick Bar in 1998. Cooper deals with national and international clients and maintains
a commercial litigation and transaction practice with emphasis on disputes, transactions
and arbitrations relating to Commercial Financing, Securities and Secured Transac-
tions, Bankruptcy and Insolvency, Product Liability, Natural Resources and Energy and
Insurance. Cooper regularly represents chartered banks, manufacturers, insurers and
numerous other commercial entities. He has appeared before all levels of court in New
Brunswick and Ontario and before numerous boards and tribunals, including interna-
tional commercial arbitration tribunals and the Ontario Securities Commission.

Walter Vail practices in the fi elds of Commercial, Corporate Banking, Bankruptcy,
Insolvency and Property Law. Employing a practical and solution-oriented approach, he
acts for a number of local, national and international corporations and fi nancial institu-
tions. He is a member of CBA, ABA, Insolvency Institute Canada, INSOL and Atlantic
Provinces Mediation Institute.

Josh McElman is the Managing Partner in the Saint John offi ce of Cox & Palmer.
He was called to the New Brunswick Bar in 2004 a er completing his education at
the University of New Brunswick. McElman acts for individuals, owner-managed
businesses, corporations, fi nancial institutions and other organizations in a wide range
of business and fi nancial transactions. He has acted as lead counsel for both lenders
and debtors in CCAA, receivership and bankruptcy proceedings and on numerous
business and fi nancial matters, including syndicated loans, operating and term loans,
corporate reorganizations, asset and share acquisitions and IP licensing. As counsel for
US and Canadian fi nancial institutions in a variety of matters, McElman has extensive
knowledge and provides his clients with practical and eff ective legal solutions.
