A senior partner in Torys' Competition and Antitrust Practice. A merger specialist, Jay
Holsten has led some of the most complex and high-profi le merger transactions in Canada
in recent years. Also regularly advises clients in connection with cartel investigations and
abuse of dominance and other reviewable matters. Holsten has developed particular ex-
pertise in the Canadian fi nancial services sector (banking, insurance, securities) and has
been involved in most of the signifi cant M&A transactions in the sector over the past 15
years. Also acts for a number of major participants in the pharmaceutical sector, where he
advises on the competition law aspects of a variety of business arrangements, including
marketing and distribution arrangements, and patent litigation and related settlements.

nadian Bar Association. Author of numerous articles discussing recent developments in

under the Competition Act and before the Competition Tribunal in reviewable matters.
Represents clients in domestic, cross-border and other international conspiracy investiga-
tions and prosecutions involving the Competition Bureau in Canada, the US antitrust
authorities and other competition agencies around the world. Also represents clients in
substantial civil actions, including leading class actions, by those claiming damages as a re-
sult of anticompetitive conduct. Has acted as counsel for the Commissioner of Competi-
tion and for private-sector clients in leading merger and abuse of dominance cases before
the Competition Tribunal. Member of the ABA International Cartel Task Force and the
