The net proceeds from the offering will be used to fi-
nance development costs relating to Veresen's proposed
Jordan Cove liquefied natural gas export terminal project
located in Oregon, to partially fund 2014 growth capital ex-
penditures relating to its renewable power projects currently
under construction, to reduce Veresen's outstanding indebt-
edness and for general corporate purposes.
The offering was made through a syndicate of underwrit-
ers co-led by Scotia Capital Inc., TD Securities Inc. and
CIBC World Markets Inc., which included RBC Capital
Markets, National Bank Financial Inc., BMO Capital Mar-
kets, HSBC Securities (Canada) Inc., Canaccord Genuity
Corp., FirstEnergy Capital Corp., Haywood Securities Inc.
and Peters & Co. Limited.
Veresen Inc. was represented by Kevan King, Senior Vice

CANADIAN NATURAL COMPLETES
US$1B NOTES OFFERING
Closing date: March 31, 2014
Canadian Natural Resources Limited completed US$1 bil-
lion notes offering comprising the issuance of US$500-
million principal amount of f loating rate notes due 2016
and US$500 million principal amount of 3.8 per cent
notes due 2024. The offering was conducted in the US
pursuant to a prospectus supplement to the short form
base shelf prospectus dated November 1, 2013, which
provides for the issuance of up to US$3 billion of debt se-
curities under the multi-jurisdictional disclosure system.
The offering was underwritten by a syndicate of under-
writers, with BofA Merrill Lynch, BNP PARIBAS and
J.P. Morgan as joint book-running managers.
