Advises Canadian and foreign corporations, investors and underwriters on private and

involved in over 100 venture capital fi nancings raising an aggregate of more than C$1.5
billion. Has also been involved in many Canadian and cross-border IPOs, acting for
both issuers and underwriters. Acted for Mitel Networks on its cross-border IPO and

Virginia Schweitzer's practice includes corporate fi nance, mergers and acquisitions,
securities, mining, energy and technology law. She has been involved in public off erings,
including IPOs, in Canada and the United States, and cross-border private placements
for technology, biotechnology and mining clients. Her expertise also extends to
mergers, take-overs and acquisitions on behalf of both public and private companies.
Schweitzer recently assisted N-able Technologies International, Inc. (N-able) on its
sale to SolarWinds WorldWide, LLC, a NASDAQ listed company. Schweitzer is also
involved in advising profi t and non-profi t corporations on matters related to corporate
governance. She acts for various public companies, including Ur-Energy Inc., BluMetric
Environmental Inc., Aura Silver Resources Inc., Enablence Technologies Inc. and
In-Touch Survey Systems Ltd. Schweitzer is a sessional lecturer at the University of
Ottawa teaching Business Acquisitions. She was called to the Ontario Bar in 1997.

Jean-Pierre Chamberland is co-head of the Corporate/Commercial section in the
Montréal offi ce. Chamberland specializes in securities, corporate fi nance, mergers
and acquisitions and structured products. He advises issuers, boards and committees,
investors and investment banks in transactions involving public and private companies
in a wide range of business sectors. Chamberland is a member of the Legal Advisory
Committee of the Autorité des marchés fi nanciers. He was called to the Québec Bar
in 1995 and completed the Canadian Securities Business Course of the Canadian
Securities Institute in 1995.
