Robert Chapman practices corporate fi nance and securities, mergers and acquisitions,
fi nancial services and technology law. His practice includes initial public off erings in
Canada and the United States, private placements and mergers and acquisitions for
technology companies. He also provides advice to both business corporations and
not-for-profi t corporations with respect to corporate governance matters, and he has
advised independent committees of directors in M&A transactions. Chapman is
the Managing Editor of Fasken Martineau's Securities and Mergers & Acquisitions
publications, including its Timely Disclosure blog. He served as a member of the
Securities Advisory Committee to the Ontario Securities Commission. Chapman was
called to the Ontario Bar in 1969.

Tom Houston is a partner in Dentons Canada LLP's Ottawa offi ce; he provides
strategic advice on corporate fi nance, venture capital, securities, M&A and corporate
governance matters to clients across various industry sectors, with an emphasis on the
technology and not-for-profi t sectors. Houston has particular expertise in technology
start-ups and has assisted many companies from formation through successful
exits. Many transactions have involved cross-border elements, both on investments
and acquisitions. Houston initiated and oversees Dentons' involvement in C100, a
pre-eminent organization formed to facilitate mentorship of Canadian technology start-
ups by successful Silicon Valley entrepreneurs and investors, including sponsorships of
a number of GROW and Accelerate events. In recent years, Houston has also become
