EMERALD HEALTH ACQUIRES
AGRO-BIOTECH

On May 2, 2018, Emerald Health erapeu-
tics Inc. acquired all of the issued and out-
standing securities of 8611165 Canada Inc.
(doing business as Agro-Biotech), a private
company which is a Québec based Licensed
Producer under the Access to Cannabis for
Medical Purposes Regulations (ACMPR) and
an affiliated company for a purchase price of
$90 million, payable half in cash and half in
shares of Emerald.
Emerald Health erapeutics is a BC-
based Licensed Producer under the ACMPR
and produces and sells dried cannabis and
cannabis oil for medical purposes. e shares
of Emerald are listed on the TSX Venture Ex-
change under the symbol EMH.
Agro-Biotech is a Licensed Producer
under the ACMPR with a 75,000 square
foot indoor cultivation facility in Saint-
Eustache, Québec.
McCullough O'Connor Irwin LLP
(now Bennett Jones LLP) were counsel to
Emerald Health erapeutics with a team
consisting of James Beeby, Lisa Stewart, Lisa
Andrews and Tajinder Rathor. BCF LLP
acted as Québec local counsel to Emerald
Health erapeutics with a team consisting
of Gilles Seguin and Jean-François Noël.
David Dubois, Avocats Inc. acted as
counsel to Agro-Biotech with a team consist-
ing of David Dubois and Stephanie Lemay.

FTQ INVESTS $70M IN EBI
CLOSING DATE: JUNE 26, 2018
On June 26, 2018, Fonds de solidarité FTQ,
a Québec development capital fund, invested
$70 million in EBI, a leading green energy
producer in Québec and Canada, to support
the economic growth in this company stra-
tegically positioned in sectors such as waste
management, renewable energy production
and the use and distribution of natural gas in
the Québec transportation industry.
EBI was represented by Lavery, de Billy,
LLP with a team led by André Paquette (cor-
porate) and Jacques Paul-Hus (corporate),
and including Nadia Hanine (corporate),
Éric Gélinas (tax), Pierre Denis (financing)
and Audrey-Julie Dallaire (environment).
