Blue Point Capital Partners is a private-equity firm managing over $1.5 billion in committed capital that focuses on investing in and growing lower mid- dle-market companies. e transaction was announced on April 4, 2018. Spector & Co. is a leading indus- try supplier of writing instruments, jour- nals and other business gis to the North American promotional products industry. Blue Point was represented by Stikeman Elliott LLP with a team that included Ma- rio Nigro, Kim Le, Julien Lefebvre (M&A), Frank Mathieu, Adam Drori (tax), Howard Rosenoff, Léa Bénitah-Bouchard (financ- ing) and Natasha vandenHoven and Al- lyson Marta (benefits). Debt financing was provided by TD Bank, while CIBC acted as the financial advisor to Spector & Co. in connection with the transaction. BOMBARDIER CLOSES $638.4M PUBLIC OFFERING CLOSING DATE: MARCH 23, 2018 On March 23, 2018, Bombardier Inc. (Bombardier) completed its public offer- ing (the Offering) of 168,000,000 Class B shares (subordinate voting) (the Shares) at a purchase price of $3.80 per Share for total gross proceeds of $638.4 million. Bombar- dier intends to use the net proceeds of the Offering to supplement its working capital and for general corporate purposes, consis- tent with Bombardier's continued proac- tive approach to capital management. e syndicate of underwriters for the Offering was led by Credit Suisse Securi- ties (Canada), Inc., National Bank Finan- cial Inc., UBS Securities Canada Inc. and TD Securities Inc.
