ADIDAS COMPLETES DIVESTITURE OF CCM HOCKEY CLOSING DATE: SEPTEMBER 1, 2017 On September 1, 2017, adidas AG completed its divestiture of CCM Hockey to a newly formed affiliate of Birch Hill Equity Partners for US$110 million, subject to customary ad- justments. NORSAT COMPLETES PLAN OF ARRANGEMENT WITH HYTERA CLOSING DATE: JULY 20, 2017 On July 20, 2017, Norsat International Inc. (Norsat) completed its acquisition by Hytera Communications Co. Ltd. (TSX: NII and NYSE MKT: NSAT) (Hytera) by way of plan of arrangement. Pursuant to the arrangement, Hytera Project Corp., a wholly owned indirect subsidiary of Hytera Communications, directly acquired owner- ship and control over 5,848,808 common shares of Norsat, which represents 100 per cent of the issued and outstanding Norsat Shares. e total consideration paid for the 5,848,808 Norsat Shares was US$67.3 mil- lion or C$85.2 million. Norsat is a provider of unique and custom- ized communication solutions for remote and challenging applications; and Hytera is a leading global provider of innovative Pro- fessional Mobile Radio (PMR) communica- tions solutions to public and private company clients across all major key industry sectors. e transaction is designed to provide Hytera with an enhanced platform of inno- vative communications solutions. McMillan LLP acted as counsel to Nor- sat International with a team led by Leo Raffin that included Marina Tran, Dan Edmondstone, Peter Botz, Cory Kent and Michael Taylor. SHUTTERSTOCK ACQUIRES FLASHSTOCK TECHNOLOGY CLOSING DATE: JULY 7, 2017 On July 7, 2017, Shutterstock, Inc. (Shutter- stock), through an indirect, wholly owned subsidiary, acquired all of the issued and outstanding shares of FlashStock Technol- ogy Inc. (FlashStock) for a purchase price of approximately US$50 million, subject to customary adjustments. FlashStock is a Toronto-based company that enables the efficient creation of custom visual content through its proprietary so- ware platform.
