e Toronto-Dominion Bank acted as Sole
Lead Arranger and Sole Bookrunner for the
credit facilities.
Subsequently, on July 14, 2017, IBI com-
pleted a separate bid bond credit facility in
the amount of $30 million with e Toron-
to-Dominion Bank.
e IBI deal team was led by Steven Kre-
sak, General Counsel and Corporate Secre-
tary and Alex Liszka, Senior Legal Counsel.
Cassels Brock & Blackwell LLP advised
IBI in respect of the credit facilities. e Cas-
sels Brock team comprised Chuck Rich and

of certain corporate matters. e Bennett

SECONDARY OFFERING
CLOSING DATE: MAY 24, 2017
On May 24, 2017, Spin Master Corp. (Spin
Master) (TSX: TOY) completed a second-
ary offering of 3,681,000 subordinate voting
shares at a price of $40.75 per subordinate
voting share, indirectly, beneficially owned
by the founders of Spin Master (the Selling
Shareholders) for gross proceeds of approxi-
mately $150 million.
Spin Master is a leading global children's
entertainment company that creates, designs,
manufactures, licenses and markets a diver-
sified portfolio of innovative toys, games,
products and entertainment properties.
e offering was made through an un-
derwriting group co-led by RBC Capital
Markets and TD Securities Inc., and that in-
cluded BMO Capital Markets, CIBC Capi-
tal Markets, National Bank Financial Inc.,
Canaccord Genuity Corp., Cormark Secu-
rities Inc., Goldman Sachs Canada Inc. and
Raymond James Ltd.
Spin Master was represented internally by
Christopher Harrs, Executive Vice President
and General Counsel, Corporate Secretary,
and Karoline Hunter, Senior Director, Inves-
tor Relations & Associate General Counsel.
Blake, Cassels & Graydon LLP acted
as Canadian counsel to Spin Master, with
