$1.5B HYBRID TRUST
NOTE OFFERING
CLOSING DATE: MAY 18, 2017
On May 18, 2017, TransCanada Trust
(TransCanada) closed its public offering in
Canada of $1.5 billion aggregate principal
amount of hybrid trust notes due May 18,
2077 (the Trust Notes).
e Trust Notes are guaranteed on a sub-
ordinated basis by TransCanada PipeLines
Limited (TCPL). e Trust Notes will pro-
vide TCPL with a cost-effective means of
raising capital that qualifies for Basket "C"
equity treatment by Moody's Investors Ser-
vice, Inc., "Intermediate Equity Credit" by
Standard & Poor's Ratings Services, as well
as "50% Equity Credit" by Fitch Ratings Inc.
TD Securities Inc., BMO Nesbitt Burns
Inc., CIBC World Markets Inc., RBC Do-
minion Securities Inc., Scotia Capital Inc.
and National Bank Financial Inc. acted as
underwriters in respect of this offering.
TransCanada was represented by its in-
house counsel, Christine Johnston, Jane
Brindle, Lisa Grams and Ravina Mann and
assisted by a team at Blake, Cassels & Gray-
don LLP. e Blakes team included Ross
Bentley, Jeff Bakker, Trevor Rowles and Ni-

COMPLETES $200M
INVESTMENT IN PAINTED
PONY ENERGY LTD.
CLOSING DATE: AUGUST 16, 2017
On August 16, 2017, Magnetar Capital
LLC, on behalf of its managed funds, made
a $200-million investment in Painted Pony
Energy Ltd., which is a publicly listed Cana-
dian natural gas producer.
e investment included $150 million of
unsecured notes and $50 million of convert-
ible debentures.
Magnetar Capital, LLC is a US private
equity fund based in Evanston, Illinois, and
invests across equity and credit in both pub-
lic and private transactions and has US$13.6
billion of assets under management. Nor-
ton Rose Fulbright Canada LLP advised
Magnetar Capital LLC with a team that
consisted of Marcus Archer, Darren Huep-
pelsheuser, Ryan Keays, Brian Milne, Jason
