On March 21, 2017, BlueCat Networks, Inc.
(BlueCat), one of Canada's most successful
emerging technology companies, completed
its sale to US private equity firm Madison
Dearborn Partners LLC (MDP).
Blue Cat's leading Domain Name System
(DNS) solution enables customers to manage
and secure corporate networks.
Kirkland & Ellis LLP acted as US coun-
sel to MDP with a team that included Jeffrey
Richards, P.C., Jon-Micheal Wheat, P.C.,
Amy Catherine Livingston and Kather-
ine Gause. Stikeman Elliott LLP acted as
Canadian counsel to MDP with a team that
included Peter Castiel, Kevin Custodio and

On July 26, 2017, it was announced that
Canadian private equity firm Champlain
Financial Corp. (Champlain) had acquired
Riverside Lobster International, Inc. (River-
side), a leading branded seafood processor
and wholesale distributor from Nova Scotia.
is is the second seafood company
Champlain acquired in 2017, following its
acquisition of Cheticamp Fisheries Inter-
national Ltd. in May, also from Nova Sco-
tia. e merger of Riverside and Cheticamp
Fisheries International Ltd. will create a
global leader in the Canadian Maritime
provinces seafood industry.
Fasken Martineau DuMoulin LLP ad-
vised Champlain Financial Corp. in this
acquisition with a team led by Jean-Sébastien
Dugas that included Alexandra Lazar and
Émilie Marceau.
Aird & Berlis LLP represented the share-
holders of Riverside Lobster International,
Inc. in this transaction. A&B's team was

COMPLETES $82.5M
OFFERING OF CONVERTIBLE
UNSECURED SUBORDINATED
DEBENTURES
CLOSING DATE: JUNE 21, 2017
On June 21, 2017, Algoma Central Corp.
(Algoma) completed its offering of $75 mil-
lion aggregate principal amount of 5.25-per-
cent convertible unsecured subordinated
debentures (the Debentures) at a price of
$1,000 per debenture on a bought-deal basis
to a syndicate of underwriters led by CIBC
Capital Markets, and including Scotia Cap-
ital Inc., TD Securities Inc., National Bank
Financial Inc., GMP Securities L.P., Cor-
mark Securities Inc. and Raymond James
Ltd. (collectively, the Underwriters).
On June 27, 2017, the Underwriters exer-
cised in full their over-allotment option, re-
sulting in the issuance of an additional $7.5
million aggregate principal amount of De-
bentures. e Debentures trade on the TSX
under the symbol "ALC.DB.A".
Algoma operates the largest Canadian flag
fleet of dry and liquid bulk carriers on the
Great Lakes-St. Lawrence Waterways.
e company owns ocean self-unloading
vessels operating in international markets,
provides ship management services for other
ship owners.
Additionally, the company is expanding
into global dry-bulk markets with invest-
ments in businesses specializing in pneumat-
ic cement carrying vessels and in short-sea
dry-bulk shipping.
