COMPLETES RECAPITALIZATION
AND GO-PRIVATE TRANSACTION
CLOSING DATE: MAY 25, 2017
On May 25, 2017, Sirius XM Canada Hold-
ings Inc. completed its statutory plan of
arrangement whereby all its shares were ac-
quired by a corporation, 2517835 Ontario
Inc., which is owned by Slaight Communi-
cations Inc., Obelysk Media Inc. and Sirius
XM Radio Inc.
Sirius XM Canada Holdings also an-
nounced that it will be redeeming all of its
outstanding 5.625-per-cent senior unsecured
notes due April 23, 2021, at a redemption
price equal to 102.813 per cent of the prin-
cipal amount of the Existing Notes plus ac-
crued and unpaid interest.
e arrangement, which was announced
on May 13, 2016, was approved at the spe-
cial meeting of shareholders held on August
30, 2016, by the Ontario Superior Court of
Justice (Commercial List) on September 6,
2016, and by the Canadian Radio-television
and Telecommunications Commission on
April 26, 2017.

ates as SiriusXM Canada. With more than
2.8 million subscribers, SiriusXM Canada
is the country's leading audio entertainment
company. It broadcasts more than 130 satel-
lite radio channels featuring premier sports,

AIRPORT REDEVELOPMENT
PROJECT REACHES
FINANCIAL CLOSE
CLOSING DATE: MARCH 15, 2017
On March 15, 2017, the L.F. Wade Inter-
national Airport Redevelopment Project in
Bermuda achieved commercial and finan-
cial close. is project is being implemented
under a framework agreement between the
Government of Bermuda and the Canadian
Commercial Corp. (CCC). Under the agree-
ment, CCC will, through its subcontract
with a subsidiary of Aecon Group, design
and construct a new passenger terminal and
related infrastructure under a fixed price,
date-guaranteed design and construction
contract valued at US$274 million.
Bermuda Skyport Corp. Ltd. (Skyport), a
wholly owned subsidiary of Aecon Conces-
sions, financed the design and construction
with a US$285-million fixed-coupon US
private placement and will assume opera-
tion and maintenance of the airport over a
30-year concession term. Construction of
the new terminal begins in April 2017 and is
