Called to the Ontario Bar in 1981, Ken Rosenberg is an advocate before all levels of court and tribunals
in Canada and in cross-border US and European disputes. His practice focuses on commercial, corporate,
shareholder, regulatory and insolvency/restructuring disputes. Rosenberg has acted as counsel to a wide
range of stakeholders, including debtors, secured and unsecured creditors, pension plans, unions, class-
action plaintiffs, court officers and public/government authorities. Files from the last 10 – 12 years with
cross-border components have included: Air Canada, Algoma Steel, Stelco, ABCP, Fraser Paper, Collins
& Aikman, Nortel, Indalex, Sino Forest and Lac Mégantic/MM&A. Rosenberg also regularly acts as a
mediator and sometimes as an arbitrator in commercial and regulatory disputes. Rosenberg has worked
for three different ministries in the Ontario government as an executive assistant to the minister at the
Ministry of Consumer and Commercial Relations, the Ministry of Financial Institutions and the Ministry
of Industry, Trade and Technology.

Derrick Tay leads the firm's corporate restructuring practice. His primary focus is on the restructuring
and reorganization of complex debtor corporations. He has been involved in most of the major Canadian
restructurings, including Essar Steel Algoma Inc., Montréal Maine and Atlantic Railway, Great Basin
Gold, Nortel, SemCanada Crude, Quebecor World Inc., the Canadian asset-based commercial paper crisis,
MuscleTech, Ravelston Corporation Limited, Air Canada, Teleglobe Inc., Bell Canada International Inc.,
Grace Canada, Inc., Babcock & Wilcox Canada Ltd., and e Loewen Group Inc. Tay has deep experience
in cross-border and multi-jurisdictional transactions, including being debtor's counsel for Nortel Networks
Limited and counsel to the Monitor in the Algoma and the Sino-Forest proceedings. He has also written
and spoken extensively and has taught courses at several law schools.
