cal Technologies ("Laborie") completed the sale of Laborie to Pa-
tricia Industries, a subsidiary of Investor AB. Founded in 1967 and
headquartered in Mississauga, Ont., Laborie is a provider of medi-
cal devices for urological, pelvic health and gastrointestinal applica-
tions. Laborie is a fully integrated medical device company with a
market-leading position in urology and a rapidly growing gastroen-
terology business. Since being acquired by Audax in 2012, Laborie
has completed 14 acquisitions to expand product lines and enter
international markets.
Audax was represented by its General Counsel, Daniel Wein-

BLUE GOOSE ACQUIRES
TENDER CHOICE
CLOSING DATE: OCTOBER 19, 2016
On October 19, 2016, Tender Choice Foods Inc. and its affiliate
("Tender Choice"), a leading Burlington, Ont.-based processor spe-
cializing in the processing, packing and distribution of meat prod-
ucts completed the sale of substantially all of the assets and food
processing business of Tender Choice to Blue Goose Pure Capital
Corp. ("Blue Goose"), a privately held Canada-based protein and
organic food company, which is a subsidiary of Dundee Corpora-
tion (TSX: DC.A).
Tender Choice was represented by Borden Ladner Gervais
LLP with a team led by Anthony Milazzo that included Jim El-
der, Stephen Nguyen (M&A), Natasha Miklaucic (tax) and Denes
Rothschild (competition).
Richard Applebaum of Brattys LLP acted as representative for
Paletta Bros. Four Limited, which is an affiliate of Tender Choice,
on real property matters.
Blue Goose was represented internally by Muneeb Yusuf (Vice
President - Legal) and Barbara de Dios (Associate Legal Counsel)
and by Stikeman Elliott LLP with a team consisting of Curtis

PSA GROUP AND MKB ACQUIRE
INTEREST IN COMMUNAUTO

On September 28, 2016, French car manufacturer, the PSA Group
(PSA) and Montréal-based merchant bank MacKinnon, Bennett
& CO (MKB) acquired a stake in Communauto. Founded in
1994, Communauto Inc. is one of the largest car-sharing services
in North America.
Communauto was represented by Davies Ward Phillips &
Vineberg LLP, with a team that included Philippe Johnson and
Fred Purkey (tax) and Chrystelle Chevalier-Gagnon and Christina
Sauro, with the assistance of Laurent Marville and Vincent Colas of
