its private placement offering to certain di-
rectors, officers and employees of the Com-
pany, along with certain other subscribers,
on a non-brokered basis, of an additional $15
million principal amount of Debentures at a
price of $1,000 per Debenture.

ACQUIRES INTASCO
CLOSING DATE: APRIL 29, 2016
On April 29, 2016, Unique Fabricating, Inc.
completed its acquisition of Intasco Corp.
for aggregate consideration of approximately
$27.5 million.
Under the asset and share purchase agree-
ment entered into in respect of the transac-
tion, Unique Fabricating indirectly acquired
substantially all of the assets of Intasco Cor-
poration in addition to all of the outstanding
capital stock of Intasco-USA Inc., Intasco's
US affiliate.
In connection with the acquisition,
Unique Fabricating entered into a US$62-
million senior credit facility with Citizens
Bank and a syndicate of lenders.
Unique Fabricating is a leader in the engi-
neering and manufacture of multi-material
foam, rubber and plastic components utilized
in noise, vibration and harshness, acoustical
management, water and air sealing, decora-
tive and other functional applications.
Intasco Corp. provides cutting edge tape
products to the automotive and manufactur-
ing industries worldwide. e company is a
3M Preferred Converter.
Intasco has facilities in London, Ontario,
and Port Huron, Michigan. It was estab-
lished in 1975.
