Canada National Managing Partner and Chief Operating Officer. Rob Roth oversees the Canada Region's
legal practice and administrative functions and, together with the Canada CEO and management team, is
responsible for the implementation of Dentons' strategy in Canada. Roth's legal practice is focused on as-
sisting clients with mergers and acquisitions, project development (including P3s), corporate finance, corpor-
ate structuring and governance and commercial transactions. Roth has worked with clients in a diverse range
of sectors of the northern Alberta economy, including the energy, power, construction, forestry, transporta-
tion, agricultural and financial sectors, among others. Planning, structuring and implementing transactions,
draing complex commercial agreements and advising boards on matters of governance and policy have be-
come particular areas of his focus. Roth's role within the firm has also developed to include client management
responsibilities for a number of the firm's key clients, including CN and EPCOR. Roth is a member of the
firm's Global Advisory Committee and Canada Board.

Corporate Commercial Working Group Leader for the Edmonton office and team lead for the Edmonton
Mining Group. Her M&A practice involves mergers, acquisitions and sale transactions, including plans of
arrangement, reverse take-overs, reorganizations and amalgamations. She assists both public and private issu-
ers, including municipalities, in raising capital through private placements, public offerings, venture-capital
financings and commercial paper offerings. She also interacts with the stock exchanges and other securities
regulatory authorities in Canada in connection with various applications on behalf of reporting issuers and
exempt market dealers. Leanne Krawchuk is routinely involved in the negotiation and draing of commer-
cial agreements relating to the establishment of joint ventures and other strategic partnerships, unanimous
shareholder agreements, construction contracts, including subcontracts, procurement contracts, and long-
term supply, oake and purchase agreements. She represents clients in the mining, construction, engineering,
oilfield service and technology industries.

Shane Stevenson is a partner in the firm's Corporate | Commercial Group and is the Edmonton team lead
for the International Natural Resources and Infrastructure (INRI) practice group. Stevenson's practice
encompasses all matters pertaining to mergers & acquisitions, securities, corporate finance and corporate/
commercial transactions. His Corporate | Commercial practice includes corporate reorganizations of pub-
lic and private corporations (both domestically and internationally), primarily for oilfield service, oil and
gas and technology-based companies. His INRI practice includes counseling Canadian oil and gas clients
with offshore tax structures implementation and advising and executing on M&A activity within Panama,
Colombia and Venezuela. Stevenson also advises public company boards of directors on their corporate gov-
ernance and continuous disclosure-related obligations and in their financings and ongoing acquisitions. He
also acts for mortgage investment corporations (MIC) and exempt market dealers and is a director of an
Alberta-focused MIC.
