John Smith has acquired very broad experience dealing with business law issues over the last 35 years. He has
been involved with many of BC's leading enterprises in industries, including mining, terminal operations and
other infrastructure, forestry, investment funds and consumer products and services. He has acted on a wide
variety of transactions, including M&A, IPOs, underwritings and restructurings, including acting for special
committees and other fiduciaries, and has extensive experience with most governance and financing struc-
tures, including trusts. He frequently advises clients on business succession, and is regularly asked to advise on
significant litigation and arbitrations. He is recognized in Chambers Canada for corporate commercial law
and won lawyer of the year in Vancouver for Best Lawyers in Canada for corporate commercial and securities
law. He received MA and BCL degrees (first class) from Oxford University and taught law for six years before

the present, advising on all types of legal matters, including its 2003 conversion from a TSX-listed company
to a TSX-listed income trust.
