Bryce Kraeker is the Managing Partner of Gowling WLG's Waterloo Region office and the national business
law leader. His clients appreciate his ability to uncomplicate securities laws and provide strategic advice, which
informs and guides their business decisions. Kraeker drives deals to successful completion, managing all as-
pects of clients' domestic and cross-border M&A activity. A strong negotiator, he has extensive experience
in structuring take-over bids, plans of arrangements, amalgamations, share and asset purchases, reverse take-
over transactions and proxy contests. He advises issuers and underwriters on raising debt or equity through
both public and private corporate finance transactions. Kraeker also regularly advises on corporate governance
best practices and policies, directors' duties and liabilities, continuous disclosure obligations, insider trading
policies, equity incentive compensation plans and related party transactions. In addition, Kraeker provides
practical security regulatory advice to both Canadian and international clients.

John Durdan is a partner in Gowling WLG's Waterloo Region office and a member of the firm's Tech Group.
His practice is divided between securities matters and technology law matters. His technology law practice focus-
es on advising technology companies on their licensing and distribution arrangements, including SAAS/cloud
arrangements, development agreements, VAR and other reseller agreements, joint ventures and outsourcing.
Durdan also advises non-tech clients on their information technology licensing and outsourcing arrange-
ments. In addition to his technology practice, Durdan advises on securities law matters and has extensive
experience in public-equity financings, private-equity and debt financings, stock-option plans, mergers and
acquisitions – including domestic, international and US-Canada cross-border transactions – and bank oper-
ating and term loans. Before embarking on his legal career, Durdan was an investment banker with a global
investment bank in Toronto. Durdan is a board member and a member of the executive committee of THE-
MUSEUM of Idea Transcending Objects.

Michel Boislard's business law practice is one primarily focused on securities, mergers and acquisitions and
corporate finance. Boislard acts for public and private corporations in complex national and cross-border
transactions. He has extensive experience in the high-tech and biotechnology industries. He is a member of

Gabriel Castiglio's practice focuses on business law, with a particular emphasis on M&A and securities. He
has led several transactions on behalf of private and publicly traded corporations, including the purchase, sale,
financing and restructuring of businesses in Canada and abroad in fields as diverse as retail, engineering and
construction, healthcare, media, real estate, sports and entertainment and wealth management. Castiglio is
a director of BMTC Group Inc. (TSX: GBT), a major retailer of furniture, electronic goods and household
appliances, and also sits on its investment committee. He is Chairman of the Board of Directors of éâtre
La Chapelle, an avant-garde creation space in the Montréal artistic community. Castiglio was recognized this
year as a Rising Star by the 2016 IFLR1000: e Guide to the World's Leading Financial Law Firms in the
areas of Finance and Corporate law. He has also been recognized as a leading Canadian practitioner in the area
