Tom Houston is a partner in Dentons Canada LLP's Ottawa office; he provides strategic advice on corporate
finance, venture capital, securities, M&A and corporate governance matters to clients across various industry
sectors, with an emphasis on the technology and not-for-profit sectors. Houston has particular expertise in
technology start-ups and has assisted many companies from formation through successful exits. Many trans-
actions have involved cross-border elements, both on investments and acquisitions. Houston initiated and
oversees Dentons' involvement in C100, a pre-eminent organization formed to facilitate mentorship of Can-
adian technology start-ups by successful Silicon Valley entrepreneurs and investors, including sponsorships of
a number of GROW and Accelerate events. In recent years, Houston has also become more actively involved in
providing corporate governance advice to industry associations and others in the not-for-profit sector.

David Little is Managing Partner of the Ottawa office. As Co-chair of Dentons Canada's Venture Technology
and Emerging Growth Companies Group, Little's practice focuses on representing funds and emerging com-
panies in venture-capital financings, cross-border transactions, buy-outs and mergers and acquisitions. Little
regularly acts as principal external counsel for many of the leading venture-capital investors (both private and
public) in Canada and the US in a broad range of financing transactions, including a number of the largest VC
deals in Canada over the last several years. He provides ongoing corporate and securities advice to numerous
knowledge-based and other emerging companies through all stages of the growth cycle, from start-up through
to larger-scale mergers, acquisitions and public financings. Little also advises public company clients on private
and public offerings of securities, corporate governance, stock options and other corporate matters. He regu-
larly represents founders, senior executives and angel investors of private companies.

Virginia Schweitzer's practice includes corporate finance, mergers and acquisitions, securities, mining, energy
and technology law. She has been involved in private equity and debt financings on behalf of several tech-
nology, biotechnology and mining companies as well as public offerings, including IPOs, in Canada and the
United States. Her expertise also extends to mergers, take-overs and acquisitions, including technology trans-
fers and IT commercialization on behalf of both public and non-public companies. Schweitzer is involved in
advising profit and non-profit corporations on matters related to corporate governance. She acts for public
companies including Enablence Technologies Inc., In-Touch Survey Systems Ltd., BluMetric Environmental
Inc., Ur-Energy Inc. and Aura Silver Resources Inc. Schweitzer assisted N-able Technologies International,
Inc. (N-able) on its sale to SolarWinds WorldWide, LLC, a NASDAQ-listed company, for $120 million in an
all-cash transaction. She was called to the Ontario Bar in 1997.
