BAYBRIDGE SENIORS HOUSING INC. ACQUIRES AMICA MATURE LIFESTYLES INC. CLOSING DATE: DECEMBER 17, 2015 On December 17, 2015, BayBridge Seniors Housing Inc. (BayBridge), a wholly owned subsidiary of the Ontario Teachers' Pension Plan Board, completed the acquisition of Amica Mature Lifestyles Inc. (Amica) pursu- ant to a statutory plan of arrangement under the CBCA for approximately $1 billion, including debt assumed. Amica is involved in the design, development, marketing, management and ownership of luxury sen- iors residences, with 25 Amica Wellness & Vitality™ Residences in operation in Ontario, British Columbia and Alberta. BayBridge is an innovative owner and operator of seniors' residences in Canada, offering a range of liv- ing options. WATERTON ACQUIRES NEVADA ASSETS FROM BARRICK GOLD CLOSING DATE: DECEMBER 17, 2015 On December 17, 2015, subsidiaries of Wa- terton Precious Metals Fund II Cayman, LP completed the acquisition of Barrick Gold Corporation's 70 per cent interest in the Spring Valley project and 100 percent of the Ruby Hill mine for a total of $110 million in cash. e assets are located in Nevada. CENTRIC HEALTH CLOSES SALE OF PHYSIO, REHAB AND ASSESSMENT OPERATIONS TO AUDAX GROUP CLOSING DATE: DECEMBER 31, 2015 On December 31, 2015, Centric Health Corporation completed the divestment of its physiotherapy, rehabilitation and med- ical assessment businesses to an affiliate of Audax Private Equity, a member of the Audax Group, for $245 million plus up to $5 million in contingent consideration. A substantial portion of the net proceeds are intended to be used to repay debt. Financing for the transaction was provided by Antares Holdings LP and Sankaty Capital LP.
