debt for equity exchange

Arcan Resources Ltd. (Arcan), a corpora-
tion principally engaged in the exploration,
development and acquisition of oil and nat-
ural gas in Western Canada, completed an
exchange of its $171.25 million convertible
unsecured subordinated debentures into
common shares of Arcan.
e exchange was approved at a meeting
of its debentureholders and structured as
the result of a transaction settled between
Arcan and an ad hoc committee of its de-
bentureholders.
Arcan was advised by Blake, Cassels &

Partnership completes
$1B bond offering

On February 23, 2015, North West Redwa-
ter Partnership and NWR Financing Com-
pany Ltd., as co-issuers, issued $500 million
of 2.10 per cent Series C Senior Secured
Bonds, due February 23, 2022, and $500
million of 3.70 per cent Series D Senior
Secured Bonds, due February 23, 2043, for
aggregate gross proceeds of $1.0 billion.
e offering was made through a syndi-
cate of agents co-led by RBC Dominion
Securities Inc. and Scotia Capital Inc., and
including CIBC World Markets Inc., J.P.
Morgan Securities Canada Inc., BMO Nes-

Gaz Métro increases
its credit facility to $800M
CLOSING DATE: JANUARY 28, 2015
Gaz Métro inc. (GMi) entered into an
agreement with the lending syndicate to in-
crease its credit facility to $800 million and
extend its maturity date to March 2, 2020.
Proceeds from the credit facility will be
loaned by GMi to Gaz Métro Limited Part-
nership (Gaz Métro). GMi mainly holds an
economic interest of approximately 71 per
cent in Gaz Métro, for which it acts as the
