Michael Gans practices in the areas of mergers & acquisitions and securities law with
an emphasis on cross-border transactions. Gans serves as practice group leader for Blakes'
Toronto securities practice. Gans frequently acts for fi nancial sponsors in leveraged
transactions and has advised off erors and targets on public domestic and cross-border
negotiated and unsolicited take-over bids and other acquisition transactions, as well as
purchasers and vendors in connection with asset and share purchase transactions. Gans
is recognized in the area of mergers and acquisitions in ! e Best Lawyers in Canada,
listed as one of the world's leading capital markets and M&A lawyers in Law Business

rate fi nance. Signifi cant experience advising acquirers, sellers, targets, special committees
and investment banks in a variety of complex transactions, including hostile take-over
bids, strategic review processes, proxy contests, private equity transactions and cross-
border transactions. Acted for BlackBerry in its strategic alternative review process
and C$1.25-billion private placement of convertible debt; Viterra in its C$6.1-billion
acquisition by Glencore; IPIC in its C$2.3-billion acquisition of Nova Chemicals; and
Husky and Onex in the C$2.1-billion sale to OMERS and Berkshire. Former Adjunct
