Ross Bentley focuses on corporate fi nance and merger and acquisition transactions. He
has extensive experience in a wide variety of domestic and cross-border equity and fi xed-
income off erings, including off erings of investment grade and high-yield debt. He also
assists issuers in establishing shelf fi nancing programs both domestically and under the
multi-jurisdictional off ering system. Bentley has acted for issuers, underwriters and selling
shareholders on off erings by issuers in the airline, pipeline and energy infrastructure,
agribusiness, oil and gas services, oil and gas exploration, railroad, and chartered bank
sectors. As counsel to both acquirers and targets, he has acted on numerous domestic and
cross-border corporate acquisitions by way of take-over bids and plans of arrangement,
and has been involved in a number of high-profi le cross-border proxy contests. He also
regularly advises issuers in connection with corporate governance requirements, continu-
ous disclosure obligations, stock exchange matters and general corporate matters.
