Mark Bennett is a partner practicing corporate and securities law (primarily in the
natural resources sector) with an emphasis on M&A and corporate fi nance. He acts for
Canadian and international mining companies involved in negotiated business combi-
nations, contested take-over bids, domestic and cross-border public-equity and debt
off erings, private placements and stock exchange listings. Bennett advises exploration,
development and producing natural resource companies on property acquisitions, joint
ventures and option agreements. He has extensive experience representing investment
dealers retained as underwriters or fi nancial advisors and has acted on transactions
involving resource properties in the Americas, Africa, Europe and Australia. Bennett

Alan Bell is a senior partner in the fi rm's corporate department. He practices primar-

David Chaikof is an M&A and capital markets partner advising on complex matters,
including strategic review processes, hostile and friendly take-over bids, proxy battles,
private-equity investments and cross-border fi nancings. Led the strategic review process
in 2014 for BlackBerry, including the related C$1.25-billion fi nancing. Led Cara's IPO
(2015) and Fairfax Financial M&A mandates, including strategic investments into
Resolute, Mega Brands, H&R REIT, Sporting Life, and e Keg as well as the Resolute
hostile bid for Fibrek, the merger of Leon's and e Brick, the merger of Cara and Prime,
the merger of Mattel Toys and Mega Brands and the going-private transactions for Brit

Chernin has more than 25 years' experience in high-profi le Canadian and international
M&A, public-company and private-equity transactions. He has acted for both issuers and
underwriters on public off erings, including debt fi nancings and cross-border off erings.
He has also acted as counsel in many signifi cant M&A transactions, plans of arrange-
ment and take-over bids, and provides advice to special committees of public companies.
Clients include pensions and private-equity funds and he has extensive experience acting
on investments made by such funds in private and public companies. Chernin taught
a course on private-equity law at Osgoode Hall Law School in 2011‒2012. He is recog-
