Omar Wakil is Co-head of Torys' Competition and Foreign Investment Review
Practice. He advises domestic and international clients on all aspects of competition law.
He specializes in providing strategic advice to fi rms involved in merger and acquisition
transactions and in cartel and abuse of dominance investigations. He is also the author
of the standard Canadian reference text on the subject, ! e 2015 Annotated Competition
Act. In his foreign investment review practice, Wakil advises clients on net benefi t
and national security reviews under the Investment Canada Act. He has represented
numerous foreign investors, as well as domestic targets in acquisition transactions. He
is widely recognized as a leading expert and in 2008 was named by Global Competition

Beth Riley practices a wide range of corporate and securities law matters in addition
to competition and foreign investment matters. She advises in respect of mergers and
acquisitions, corporate fi nance, corporate governance and continuous disclosure compli-
ance. In her Competition Act and Investment Canada Act practice, she regularly advises
both domestic and foreign clients engaged in mergers, joint ventures and other forms of
strategic alliances in connection with the notifi cation and clearance provisions of the
Competition Act and the Investment Canada Act. She also advises clients in connection
with conspiracy and other criminal provisions of the Competition Act and potentially
anti-competitive business practices, and in the development of corporate compliance
policies and compliance with such policies. She speaks and writes on competition and
foreign investment matters for the Canadian Bar Association and American Bar Associ-
ation. Prior to practicing law, Riley worked as an offi cer in the Mergers Branch of the
Competition Bureau assessing mergers under the Competition Act.

Barry Zalmanowitz is a partner of Dentons Canada LLP's Edmonton offi ce and
Co-chair of the fi rm's National Competition Law Group. He advises and represents
clients in all aspects of the Competition Act, including mergers and notifi able transac-
tions, conspiracy and other criminal provisions, private damage actions, reviewable
practices and misleading advertising. He also represents clients in compliance with the
Investment Canada Act and establishes competition and antitrust compliance programs
and policies. Zalmanowitz has been competition law counsel in many signifi cant trans-
actions providing pre-transaction advice, compliance with pre-notifi cation fi lings and
obtaining clearances from the Commissioner of Competition. He is experienced in
representing clients in contested merger proceedings and defense of clients in crimi-
nal cartel prosecutions and deceptive marketing proceedings. Zalmanowitz's industry
experience includes agriculture, oil and gas, restructured electricity, oil and gas service,
pipeline, retail and airlines.
