Erik Goldsilver is a partner who practices corporate and commercial law with an
emphasis on mining and natural resources. He acts for Canadian and international
mining companies on acquisitions and dispositions of mines, mining projects and mining
companies; project development; and mine operations. Goldsilver advises on the struc-
turing and negotiation of option and joint-venture agreements, shareholder agreements,
royalty arrangements, streaming transactions and off -take agreements. He has exten-
sive experience with all legal aspects of the development, construction and operation of
mining projects, including advising on Aboriginal issues and claims, environmental and
regulatory compliance matters, permitting issues and mine closure, decommissioning
and reclamation issues. Goldsilver also advises mining clients on energy-related issues
such as power procurement, interconnection and transmission services. He is recognized

Michael N. Melanson is a partner in the Toronto offi ce of Bennett Jones LLP and
co-head of the corporate commercial department. He specializes in corporate and securi-
ties law, with an emphasis on public and private off erings of securities, take-over bids and
mergers & acquisitions. He acts for clients in a wide range of industries, particularly in
the mining industry. One area of focus of Melanson's practice is representing clients in
China, Hong Kong and other international markets. Recognized by Chambers Global
as a leading mining lawyer, ! e Best Lawyers in Canada as a leading securities, mining
and natural resources lawyer and by Who's Who Legal: International as a leading mining

commercial activity, including in the energy & mining sectors. Experienced in interna-
tional & domestic transactions, including joint ventures, acquisitions and dispositions,
fi nancings and restructurings, as well as developing and advancing projects. Oliver devel-
oped, Co-chairs and lectures at Osgoode Hall's Certifi cate of Mining Law Program, is
the Secretary of CIMVal (mineral valuation standards committee), and is a Trustee of
the Rocky Mountain Mineral Law Foundation. She is recognized as an expert in mining

Global. In the community, Oliver was Chair of the Board of Governors of Havergal
