Will Fung is a securities law partner whose focus is on corporate fi nance and public
M&A deals, from public off erings and private placements of equity and debt securities
on behalf of issuers, dealers and strategic investors, to take-over bids, merger transactions
and proxy battles on behalf of off erors, targets, activist investors and special committees.
He has particular expertise in REITs and income funds, with most recent relevant experi-
ence being the Choice Properties REIT and American Hotel REIT LP off erings and

review process and C$1.25-billion private placement of convertible debt; Viterra in its
C$6.1-billion acquisition by Glencore; IPIC in its C$2.3-billion acquisition of Nova
Chemicals; and Husky and Onex in the C$2.1-billion sale to OMERS and Berkshire.
