Kelley McKinnon is an experienced trial and appellate litigator, specializing in securities, competition and other regulatory defense as well as commercial litigation and class ac- tions. As former Chief Litigation Counsel and Deputy Director, Enforcement at the On- tario Securities Commission and former Senior Deputy Commissioner of Competition for Canada (heading the mergers branch), she off ers unparalleled strategic insight into regulatory investigations and proceedings. In addition to corporate disputes, class actions and regulatory defenses, she routinely conducts special investigations for boards and se- nior management on sensitive and urgent issues, from insider trading to executive miscon- duct. At the Supreme Court of Canada, she acted for the Teachers' Pension Plan in the national securities commission reference and she acted for the OSC as intervenor on Danier Leather regarding disclosure, director and offi cer liability and the business judg- ment rule. Terrence J. O'Sullivan was called to the Bar of Ontario in 1973. His practice includes civil and commercial litigation with an emphasis on business disputes, fi nancial institution litigation, class actions, defense of regulatory charges and professional discipline matters. He regularly appears in all levels of courts in Ontario and other provinces, including the Supreme Court of Canada. O'Sullivan is a Fellow of the American College of Trial Law- yers, a Fellow of the International Academy of Trial Lawyers and a past president of e Advocates' Society of Ontario. He was a co-author of the Civil Justice Review (volumes one and two) and is former Chair of the Joint Committee on Court Reform of the province of Ontario. O'Sullivan writes and speaks extensively and is an occasional lecturer and demon- strator for the Osgoode Hall Intensive Advocacy Program. O'Sullivan also acts as a media- tor and an arbitrator.
