Chad Schneider is a partner who practices in the areas of corporate and securities
law at Blake, Cassels & Graydon LLP. His primary focus is on mergers & acquisitions,
corporate fi nance, private-equity transactions and continuous disclosure compliance.
Schneider has assisted both buyers and acquired companies in M&A transactions
involving domestic and foreign parties. Schneider also has extensive experience in
representing both publicly traded and private issuers, including corporations and income
trusts, listed on the Toronto Stock Exchange (TSX), the New York Stock Exchange
(NYSE) and the TSX Venture Exchange. He has acted on behalf of underwriters
and dealers in domestic and foreign public and private off erings of equity and debt.
Schneider acts on transactions primarily within the energy sector, and also assists clients
with general corporate and commercial matters.

in the natural resources sector with an emphasis on corporate fi nance and mergers
& acquisitions. Acts for Canadian and international mining companies involved
in negotiated business combinations, contested take-over bids, domestic and cross-
border public-equity and debt off erings, private placements, and stock exchange
listings. Advises exploration, development and producing natural resource companies
on property acquisitions, joint ventures and option agreements. Extensive experience
representing investment dealers retained as underwriters or fi nancial advisors. Acts
on transactions involving resource properties in the Americas, Africa, Europe, Asia
and Australia. Advisor to boards of directors and special committees on related-party

Michael Bourassa is a member of Fasken Martineau's Global Mining and Corporate
Social Responsibility (CSR) groups. He has extensive experience with Canadian and
international mining projects and advises on public fi nancings, commercial mining
agreements (joint venture, option, purchase and sale, royalty), CSR and litigation
support. Bourassa has signifi cant expertise in international mining due diligence
issues concerning title, technical matters and environmental risks. He is a director
of the Prospectors and Developers Association of Canada, executive member of the
mining committee of the International Bar Association and a former trustee for the
Rocky Mountain Mineral Law Foundation. He has written articles on CSR trends
in the mining industry and frequently speaks on a wide range of mining-related
topics. Bourassa is widely recognized for his mining expertise by several leading legal
publications. He was called to the Ontario Bar in 1986.
