Co-head of Torys' M&A practice. Emphasis on M&A (public and private) and
corporate fi nance. Signifi cant experience advising acquirers, sellers, targets, special
committees and investment banks in a variety of complex transactions, including hostile
take-over bids, strategic review processes, proxy contests, private-equity transactions
and cross-border transactions. Acted for BlackBerry in its 2013 strategic alternative
review process and C$1.25-billion private placement of convertible debt; Viterra in its
C$6.1-billion acquisition by Glencore; IPIC in its C$2.3-billion acquisition of Nova
Chemicals; and Husky and Onex in the C$2.1-billion sale to OMERS and Berkshire.

and private equity. Acts for a wide variety of private-equity fi rms, advising on management
buyouts and leveraged buyouts of public and private companies. Regularly advises
acquirers and targets in connection with public take-over bids, plans of arrangement,
and private acquisitions and divestitures. Also has extensive experience in corporate
fi nance, including advising issuers and underwriters on public and private off erings of
debt and equity securities. Regularly represents CPPIB, Ontario Teachers', OMERS

with a particular emphasis on mergers & acquisitions and corporate fi nance. Has acted
for public and private companies, private-equity fi rms and investment bankers on a
range of acquisitions, securities off erings and other corporate transactions. Has taught
at the University of Toronto Faculty of Law on contested mergers and proxy contests
and has frequently spoken and written about corporate and securities law developments.

at the Supreme Court of Canada. Admitted to the Ontario Bar in 2000.

fi nancing matters, including M&A transactions, privatizations, corporate governance,

public company acquisitions, divestitures, reorganizations, spin-off s and going-private
transactions, governance advisory assignments, syndicated project loans, infrastructure
