Pat Maguire is the co-head of the Bennett Jones LLP corporate department and a
member of the fi rm's Energy Practice Group. He acts for energy companies on a broad
range of commercial transactions, both in Canada and internationally. He assists energy
companies with purchase and sale transactions and almost all aspects of energy project
development, including joint venturing, commodity processing, transportation, sales
and related transactions. He also assists borrowers in structuring and negotiating full
and limited recourse fi nancing arrangements for oil, gas and electricity companies. His
MBA dissertation related to risk management and fi nancing of international energy
projects not only provides an educational background for his practice but also provides
a signifi cant understanding of decisions from a business perspective.

Partner in the fi rm's regulatory/environment department. Acts primarily for project
developers, pipelines, industry associations, utility companies, gas buyers, producers
and fi nancial institutions; with particular experience in oil, gas, electricity, liquefi ed
natural gas, compressed natural gas and natural gas liquids, matters relating to tolls and
tariff s, facilities; including Aboriginal and environmental implications, and imports/
exports. Also has considerable experience in addressing deregulation issues in both
the gas and electric industries. Practices before the NEB, the AUC and the ERCB,
and has participated in proceedings before the BCUC and the PUB of the Yukon
and Northwest Territories. Former counsel to the NEB and spent several years with
the Federal Department of Energy, Mines and Resources. Member of LSA, LSUC,
LSNT and CalBA. Called to the Ontario Bar in 1982, the Alberta Bar in 1991 and the
Northwest Territories Bar in 1994.

Member of the regulatory practice section. Signifi cant experience in the regulatory,
environmental and Aboriginal law areas. Represents a wide variety of industry interests
in various administrative forums throughout Canada, including regulatory and
environmental assessment tribunals. Provides legal counsel to industry clients in the
obtaining of approvals for energy pipelines, wells and processing plants, mines, electrical
power generation, oil sands extraction, upgrading and hazardous waste management
facilities. Advises clients as to environmental assessment process protocols, general
environmental liability and Aboriginal engagement issues. Member of LSA, CalBA,
CBA, CPLF and CNLO. Past Chairman of the Board of Directors of the Canadian
Institute of Resources Law and Director of the Alberta Chamber of Resources.
Admitted to the Alberta Bar in 1980. Appointed Queen's Counsel in 2008.

James Smellie's practice focuses on energy regulatory matters, administrative law and
litigation. He has extensive experience representing a wide range of stakeholders in the
energy industry before federal and provincial regulatory tribunals, including in respect
of facility approvals, rate and tariff issues and export/import authorizations, as well as
on specifi c projects such as the Sable Off shore Energy/Maritimes & Northeast Pipeline
Projects, the MacKenzie Gas Project, the proposed Alaska Pipeline and the Maritime
Link component of the Lower Churchill hydro-electric project. His litigation focus
includes commercial arbitrations, both as counsel and arbitrator, as well as appearances
in the provincial and federal superior and appellate courts, and the Supreme Court
of Canada. He is widely recognized by his peers and in several ranking publications
‒ including ! e Best Lawyers in Canada, Chambers Global, ! e Lexpert®/American
