David Phillips has over 25 years of experience advising corporations and underwriters
on corporate fi nance and securities law matters. Most recently, that includes almost all
of the new generation of cross-border income trusts. He also acted for the underwriters
in 1997 on the then largest initial public off ering in Canadian history. Overall, Phillips
has been the lead lawyer for the issuer or the underwriters on fi nancings that have
collectively raised more than C$9 billion. He also advises public corporations and
boards of directors on mergers and acquisitions, corporate governance, stock option
and other compensation plans, securities commission fi lings and dealings with stock
exchanges, plus other matters. Phillips is a regular speaker at securities conferences
and other events and a lecturer for the Directors Education Program of the Institute of
Corporate Directors.

Chad Schneider is a partner who practices in the areas of corporate and securities
law at Blake, Cassels & Graydon LLP. His primary focus is on mergers & acquisitions,
corporate fi nance, private-equity transactions and continuous disclosur e compliance.
Schneider has assisted both buyers and acquired companies in M&A transactions
involving domestic and foreign parties. Schneider also has extensive experience in
representing both publicly traded and private issuers, including corporations and income
trusts, listed on the Toronto Stock Exchange (TSX), the New York Stock Exchange
(NYSE) and the TSX Venture Exchange. He has acted on behalf of underwriters
and dealers in domestic and foreign public and private off erings of equity and debt.
Schneider acts on transactions primarily within the energy sector, and also assists clients
