Matthew Tevlin chairs the Business Law Group at Torkin Manes LLP. His practice involves all areas of corporate law,
with an emphasis on mergers and acquisitions, private equity and cross-border transactions. Tevlin provides counsel on
complex transactions, as well as day-to-day activities for a wide range of clients, including private equity firms, merchant
banks, venture capital firms, banks and other financial services firms, as well as developers, manufacturers, distributors and
retailers, as well as IT, BPO and pharmaceutical companies. He has significant experience in corporate finance, including
share and asset acquisitions and dispositions, debt and equity financings, corporate reorganizations, management buyouts
and private equity sponsored deals. Tevlin provides strategic and legal advice in all matters related to general corporate
governance and shareholder disputes. He is a member of the Canadian Bar Association, the Ontario Bar Association and

Rob Wortzman is a partner at Wildeboer Dellelce LLP. His practice focuses on securities regulation, corporate finance
matters and M&A. Wortzman works with both established and emerging companies worldwide, primarily in the tech-
nology, life science, industrial and investment management and dealer sectors. Among other recent mandates, Wortzman
acted for Real Matters Inc. in its IPO valued at $1.13 billion. He has significant experience on a wide range of public
equity and debt offerings, private placements and M&A transactions and regularly assists issuers, investment dealers and
institutional and private investors on equity and debt financing transactions, ranging from startup investments, venture
capital and private equity investments to larger public offerings including cross-border offerings. Wortzman also advises
issuers, investment dealers and other securities industry participants on various regulatory compliance matters, including
listings, governance and disclosure issues. He is a current member of the Registration Advisory Committee to the Ontario
Securities Commission and was a former member of the Securities Advisory Committee to the Ontario Securities Com-
mission. Wortzman is the past chairman of the board of directors of Variety Village.
