OFFERING OF US$350M
UNSECURED SENIOR NOTES
CLOSING DATE: JUNE 25, 2018
On June 25, 2018, Frontera Energy (the
Issuer) completed an offering of US$350
million principal amount of unsecured
senior notes due in 2023, the proceeds of
which were used to repurchase US$250
million of the company's outstanding sen-
ior secured notes due in 2021 pursuant to
a tender offer.
Frontera Energy is a Canadian petrol-
eum exploration and production company
in the business of heavy crude oil and nat-
ural gas with operations in Colombia and
Peru. e transaction is key to the com-
pany's strategy of sustainable production
growth through high impact exploration
and strategic initiatives.
McMillan LLP acted for Frontera
Energy on all Canadian aspects of this
complex cross-border transaction with a
multi-disciplinary team which included
banking, financial services and tax – in
addition to capital markets expertise. e

WGL HOLDINGS, INC.

On July 6, 2018, AltaGas Ltd. completed
its acquisition of WGL Holdings, Inc. for
approximately C$9 billion, including relat-
ed financing consisting of a US$3 billion
bridge facility, a C$2.6 billion bought deal
public offering of subscription receipts and
a concurrent C$400 million private place-
ment of subscription receipts.
e combination of AltaGas and WGL
supports AltaGas' long-term vision and
strateg y, and results in a company with
an enterprise value of over $17 billion, a
presence in over 30 states and provinces,
and approximately $6 billion in growth
opportunities.
