TERANET AFFILIATE COMPLETES ACQUISITION OF D+H COLLATERAL MANAGEMENT CORP. FROM FINASTRA CLOSING DATE: AUGUST 3, 2018 On August 3, 2018, an affiliated entity of Teranet Inc., CM Solutions Inc., acquired all of the issued and outstanding shares of D+H Collateral Management Corp., a division of Finastra Holdings Inc. Teranet is Canada's leader in the delivery of statutory registry services and is owned by OMERS Infrastructure, the infrastructure investment manager of OMERS, which is the defined benefit pension plan for Ontar- io's municipal employees. D+H Collateral Management Corp. is the market leader in Canadian lien registra- tion and search, asset recovery services, and insolvency management. TD Securities and e Bank of Nova Sco- tia co-led a senior credit financing in support of the acquisition. Teranet was represented in-house by Agos- tino Russo, Chief Legal Officer & Corporate Secretary, and Jacqueline Hawkins, Senior Legal Counsel.
