CIVEO CORP. ACQUIRES NORALTA LODGE LTD. CLOSING DATE: APRIL 2, 2018 Civeo Corp., a global provider of workforce accommodations, logistics and facility man- agement services, and Noralta Lodge Ltd., an Alberta-based provider of remote accom- modations in the Canadian oil sands region, entered into a definitive agreement on No- vember 26, 2017, for Civeo to acquire 100% of the equity interests of Noralta for total consideration of approximately $367 mil- lion, on a cash-free, debt-free basis. e transaction closed on April 2, 2018, with the consideration paid by a mix of cash and the issuance of shares in the capi- tal of Civeo. Bennett Jones LLP was Canadian coun- sel to Civeo with a team that included Bruce Hibbard, Beth Riley, Megan Bertram, Pat- rick Keogh and Kay She. FRONTIER CAPITAL ACQUIRES AGREEMENT EXPRESS CLOSING DATE: MAY 4, 2018 On May 4, 2018, Frontier Capital com- pleted the acquisition of Agreement Express Inc. and its subsidiary corporations (AEX) through a plan of arrangement. e invest- ment was made through Frontier Capital's US$700 million Frontier Fund V. AEX is a Vancouver-based provider of a soware-as-a-service based end-to-end digi- tal onboarding platform focused on enhanc- ing the client experience for wealth manage- ment, payments and insurance providers.
